v)       The Companion must be provided separate sleeping quarters .

vi)     Companions are given one hour daily on site for personal grooming and related needs.

vii)    Duties include up to 8 hours of on-the-feet, actively engaged personal care and home-making Services.

viii)  Remaining time is dedicated to active monitoring and being on call for Services as needed.

ix)     If a Companion assigned to Live-in Services does not have a minimum 4-hour uninterrupted sleep period, the entire visit must be paid at the rate for hourly services.

TERMS & CONDITIONS

  1. Should you, the Client, or any affiliate of the Client, (hereinafter collectively “Client Party”) privately hire any Companion employed by CCC for a period of one (1) year following the completion of services, Client Party will pay CCC the sum of $5,000.00 per Companion hired as a finder’s fee for CCC’s services in finding, interviewing, performing background checks on, and referring the Companion to Client, and to compensate CCC for its lost revenue and expenses incurred in replacing said companion. Client Party agrees that CCC will not be responsible for any actions of any Companion after being so hired by Client Party, and Client Party hereby waives any claim against CCC or its bonding and insurance companies for the actions of any Companion so hired by Client Party.
  2. You acknowledge that your relationship with employees of CCC is professional, and is a direct result of your relationship with Caring Companion Connections, LLC.  The presence of our employees at the Services location directly affects CCC’s critical business operations, including issues such as minimum wage calculations, liability insurance, and contract provisions.  Therefore, CCC Companions may not visit on a non-paid basis either during or after the term of this contract, unless CCC expressly approves the visit in advance, in writing.  In the event such visits occur, CCC may issue an invoice under the provisions of Term #1 above.
  3. Either you or we may discontinue or modify the schedule for Companion services with twenty-four (24) hour notice followed by written notice.
  4. Fees, terms, and conditions are subject to change by written notice from CCC.
  5. There is no initiation fee for CCC services or exit fee to discontinue CCC services. At termination of service, all unapplied advance payments will be returned to you within 7 business days.  Payment for any unpaid services is due immediately.
  6. CCC will bill for actual time spent on site.  Companions have a 15-minute grace period to login upon arrival, so that they may greet the Client and attend to the Client’s immediate needs.  Any Companion who logs in within 15 minutes of the scheduled start time will be deemed to have arrived on time.  Companions who login prior to the scheduled start time, or more than 15 minutes after the scheduled start time, will be deemed to have started work when they login.  Logout times will be taken as the actual end time of the visit.
  7. You may cancel or reschedule services by notifying CCC in writing no later than twenty-four (24) hours prior to the next scheduled Companion visit. Unless such notification is given, you must pay for the entire hourly shift or daily time scheduled.
  8. You will communicate your schedule requests to the CCC care manager, and CCC will assign and schedule caregivers.  Caregivers will not receive scheduling instructions from you, the Client, or other members of the Client family or Client representatives.
  9. Use of an automobile by the Companion during Service must be authorized in writing, in advance.  If the Companion is to use a Client party car, CCC must receive written documentation of the car’s current registration and insurance.  If a CCC Companion uses his/her own car for Client business, CCC will bill Client at the then-current maximum rate allowed by the IRS (available at www.irs.,gov) for all miles driven.  This rate will not be marked up by CCC, and the entire amount will be provided to the Companion to reimburse automobile expenses. Companions may not be a passenger in a car with the client as driver.
  10. Changes in the location of the requested service (for example, during a hospital stay or a brief visit to the homes of family members) may incur an additional travel expense.  CCC will identify any additional expenses in advance, in writing.
  11. CCC is bonded for loss up to a maximum of $10,000.00.  Payment for any losses requires prosecution and conviction of a crime. You release CCC and any Companion from all liability for any personal injury to Client, damage to place of assignment, including personal property located at such place, or for injuries or damages from the use of any automobile (regardless of ownership) in connection with these services, except in the case of gross negligence or successful prosecution of Companion for theft. To prevent any potential losses, you agree to remove all items of value at the place of assignment, or put them in a safe place not accessible to Companion. You understand that money or gifts may not be given directly to the Companion without first informing CCC in writing.
  12. You authorize CCC to disclose personal health information obtained in the course of Client’s care to any third party payer.  You understand that this Authorization Of Disclosure is required for the purpose of establishing and/or maintaining eligibility for third party reimbursement of the Companion home care charges, if applicable. Such information shall be limited to the specific information required by law and the third party payer.
  13. You authorize CCC to disclose personal health information obtained in the course of Client’s care to any medical professional or other professional directly involved in the Client’s care.
  14. All laws affecting breaks, overtime pay, safety, and other work-related rules override any provision of this document and must be followed.  If CCC becomes aware of a conflict between this document and any related law, CCC will identify the conflict in writing and propose an alternative.  If you and CCC cannot agree on an alternative provision to address the conflict, you may terminate CCC’s services according to the terms provided above.

SCHEDULE AND PAYMENT

1.       All days of scheduled service will be confirmed in writing, in advance, by CCC.

2.       CCC’s current rates are attached at the end of this document. These rates may be changed by CCC, at its sole discretion, in advance of a service period. You will be informed in writing, in advance, of any such change.

3.       Massachusetts law recognizes certain legal holidays.  Companions typically expect these holidays to be non-working days, and CCC finds it difficult to staff these visits.  As a result, holiday charges will be 1.5 times the regular rate as an incentive for the Companion to work these holidays.  Holiday charges apply to New Year’s Day, Memorial Day, Independence Day (July 4th), Labor Day, Thanksgiving, Christmas Eve, and Christmas Day.

4.       You understand and agree that you will be responsible to pay for all charges and services and will do so within 10 days of being invoiced by CCC. You acknowledge that any unpaid balance due CCC will incur a finance charge of 1.5% per month. If an account is sent to an outside collection agency, you will be charged a collection-handling fee of 40% of the balance.

5.       CCC makes no representation that homemaker and companion services, in full or in part, are eligible for coverage by any third party payer such as an insurance company. CCC does not accept an Assignment of Benefits in lieu of payment. You also acknowledge that Medicare will not pay for these services.

6.       You agree that the following process will govern CCC scheduled Services, invoicing, and payments:

a.       You will choose regular service periods of either one (1) month or two (2) weeks.

b.       You will request Services for the upcoming period, and we will confirm the schedule in writing.

c.        You will make fully refundable advance payment equal to the projected cost for the Services you have requested for the upcoming service period.

d.       We will bill you for our daily Services after each service period.  If the amount of the bill is less than the amount your advance payments, any excess payment will be applied to Services during the next service period.

e.        If the amount of your bill for any period is more than the amount of the advance payment you have made, then the invoice for the next service period’s advance payment will include both the services for that pay period and also the amount of the shortfall from the previous period.

f.        If you do not pay us on time, CCC cannot guarantee the presence of a Companion beyond the due date of the invoice.
